These Terms and Conditions are effective as of 28th day  of January 2025

These Terms and Conditions govern your use of our website and booking of our online Transcendental Meditation day retreats.

(1) Thryve Pro Academy (company number 16573922), a company registered in England and Wales with its registered office at 3rd Floor, 86-90 Paul Street, London, England, United Kingdom, EC2A 4NE ("we", "us", "our", or the "Company"). We organise and facilitate online Transcendental Meditation day retreats in partnership with Maharishi Foundation UK. The retreats are led by certified TM teachers who supervise the day and are available to provide support.

(2) You ("you", "your", or "Customer") - any individual who accesses our website, consults our information, or books our online retreat services.

Background

  1. Thryve Pro Academy organises and facilitates online Transcendental Meditation day retreats in partnership with Maharishi Foundation UK, as part of our Thryve3 programme and for the wider TM community.
  2. Retreats are led by certified TM teachers who supervise the sessions and are available to offer support and answer questions. Our role is to organise the retreat experience, including scheduling, logistics, and supporting content.
  3. Our retreats are open to participants in the Thryve3 programme and to anyone who has already been instructed in Transcendental Meditation by a certified teacher. Retreats include time for Transcendental Meditation practice, simple yoga postures, breathing exercises, suggested daily routines, further wellbeing tips and practices and recommended recipes.
  4. Our website serves as an information portal where visitors can learn about our retreats and book their participation in upcoming sessions.
  5. These Terms and Conditions set out the legal basis on which we provide our website services and retreat booking facilities to users, and establish the terms under which participants may join our online retreats.
  6. By using our website or booking any of our services, you agree to be bound by these Terms and Conditions, which govern your relationship with us and your participation in our online retreats.
  1. Definitions
  1. In these Terms and Conditions, the following words and expressions have the meanings set out below:
  2. Agreement means these Terms and Conditions as may be amended from time to time in accordance with clause 13.
  3. Booking means your reservation and purchase of a place on a Retreat through our Website.

  5. Content means all materials, information, guidance, instructions, videos, audio recordings, written materials, routines, recipes, and other content provided as part of the Services.
  6. Customer or you means any individual who uses our Website, accesses our information, or books our Services.
  7. Maharishi Foundation UK means the organisation under whose auspices our certified Teachers operate, and with whom we partner to deliver the Thryve3 programme.
  8. Personal Data has the meaning given to it in the UK General Data Protection Regulation.
  9. Retreat means an online Transcendental Meditation day retreat organised and delivered by us, including all associated Content and activities.
  10. Services means the online day retreat experiences we organise and facilitate, which include time for Transcendental Meditation practice, simple yoga postures, breathing exercises, suggested routines, and recommended recipes.
  11. Teachers means certified TM teachers who operate under the auspices of Maharishi Foundation UK and lead our Retreats, supervising sessions and providing support to participants.
  12. Website means our website at thryve3.com/days and any associated online platforms or systems we use to provide our Services.
  13. References to clauses are to clauses of these Terms and Conditions.
  14. Words importing the singular include the plural and vice versa, and words importing any gender include every gender.
  1. Acceptance of Terms
  1. By accessing, browsing or using our Website, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions.
  2. By completing a Booking for any of our Services, you confirm your acceptance of these Terms and Conditions and agree to comply with all provisions contained herein.
  3. If you do not agree with any part of these Terms and Conditions, you must not use our Website or book any of our Services.
  4. Your continued use of the Website after any changes to these Terms and Conditions constitutes your acceptance of such changes.
  5. You must be at least 18 years old to use our Website and book our Services. By using our Website, you confirm that you meet this age requirement.
  6. If you are booking Services on behalf of another person, you confirm that you have their authority to do so and that they will be bound by these Terms and Conditions.
  1. Description of Services
  1. Online Retreat Format: We organise online day retreats conducted via video conferencing platforms, allowing you to participate from your own home or chosen location with internet access. Thryve Pro Academy acts as the organiser and facilitator of these retreats.
  2. Teacher Support: Our Retreats are led by certified TM teachers who supervise the day's activities and are available to answer questions and provide support. Please note that TM is not taught during the Retreats - participants must have already received instruction from a certified teacher before attending.
  3. Core Components: Each Retreat includes the following elements:
  1. Time for Transcendental Meditation practice, with Teachers available for support.
  2. Simple yoga postures designed to complement meditation practice.
  3. Basic breathing exercises to support overall wellness and relaxation.
  4. Additional wellbeing suggestions and practices
  5. Recommended recipes aligned with wellness principles discussed during the Retreat.
  1. Duration and Schedule: Retreats are structured as day-long programs with specific start and end times, breaks, and session schedules that will be communicated to you upon Booking confirmation.
  2. Materials and Resources: You will receive access to supporting materials, routine guides, and recipe collections as part of your participation, delivered through our Website or email.
  3. Technical Requirements: Participation requires a stable internet connection, device capable of video conferencing, and a quiet space suitable for meditation and gentle movement.
  4. Individual Practice: While guidance is provided online, all meditation, yoga, and breathing activities are performed independently by you in your chosen location.
  5. Group Viewing: Some participants may choose to gather together at a local TM centre or other location to join the online Retreat as a group. Any such arrangement is entirely your own responsibility. We have no control over, and accept no liability for, the premises, facilities, or anything that occurs at any physical location where you choose to participate.
  1. Registration and Booking
  1. To book a Retreat, you must create an account on our Website by providing accurate and complete information including your name, email address, and contact details.
  2. You are responsible for maintaining the confidentiality of your account login details and for all activities that occur under your account.
  3. You must be at least 18 years old to create an account and book our Services.
  4. When making a Booking, you must provide accurate information about any health conditions, physical limitations, or other factors that may affect your participation in the Retreat.
  5. All information provided during registration must be truthful and up-to-date. You agree to notify us promptly of any changes to your contact details or relevant health information.
  6. We reserve the right to refuse or cancel any Booking if we have reasonable grounds to believe the information provided is inaccurate, incomplete, or fraudulent.
  7. Once you complete the Booking process and payment is confirmed, you will receive a confirmation email with details of your Retreat including joining instructions and preparatory materials.
  8. It is your responsibility to ensure you have the necessary technical requirements and internet connection to participate in the online Retreat.
  1. Payment Terms
  1. All Retreat bookings must be paid in full at the time of booking through our Website.
  2. We accept payment by major credit cards, debit cards, and other payment methods displayed on our Website at checkout.
  3. All prices are displayed and charged in British Pounds (GBP) unless otherwise stated.
  4. Our prices are inclusive of UK VAT where applicable at the prevailing rate.
  5. You are responsible for any additional charges imposed by your bank or payment provider, including but not limited to foreign exchange fees or transaction charges.
  6. Payment processing is handled by third-party payment processors and your payment information will be processed in accordance with their terms and our Privacy Policy.
  7. If payment cannot be processed or is declined, your Booking will not be confirmed and you will not be granted access to the Retreat.
  8. We reserve the right to change our prices at any time, but price changes will not affect Bookings already confirmed and paid for.
  1. Cancellation and Transfer Policy
  1. Subject to your statutory rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, all Bookings are generally non-refundable once payment has been processed. You may have a statutory right to cancel within 14 days of booking; however, if the Retreat takes place within this period and you have given your express consent to proceed, you acknowledge that you will lose this right once the Retreat has been delivered.
  2. We may, at our discretion, offer a full or partial refund or credit towards a future Retreat in the following exceptional circumstances, provided you notify us in writing as soon as reasonably practicable and supply reasonable supporting evidence:
  1. serious illness or hospitalisation affecting you or an immediate family member;
  2. bereavement of an immediate family member;
  3. redundancy or sudden job loss occurring after your Booking was made.
  1. We understand that life can be unpredictable. We may also consider other exceptional circumstances on a case-by-case basis and, where appropriate, offer goodwill gestures such as partial refunds, credits, or complimentary access to future sessions. Any decision to do so is entirely at our discretion and does not create any obligation to act similarly in future cases.
  2. You may transfer your Booking to a future Retreat date subject to the following conditions:
  1. You must request the transfer at least 48 hours before your originally scheduled Retreat date.
  2. Transfer requests must be made in writing by email to our customer service team.
  3. You may only transfer to a Retreat scheduled within 12 months of your original Booking date.
  4. If the future Retreat has a higher price than your original Booking, you must pay the difference before the transfer is confirmed.
  5. If the future Retreat has a lower price than your original Booking, no refund of the difference will be provided.
  1. Each Booking may only be transferred once - no further transfers will be permitted.
  2. If you fail to attend your scheduled Retreat and have not requested a transfer in accordance with clause 6.4, you will forfeit your Booking entirely.
  3. We reserve the right to cancel or reschedule any Retreat due to circumstances beyond our reasonable control, in which case we will offer you a transfer to an alternative date or provide a full refund.
  4. We reserve the right to postpone or cancel a Retreat if fewer than 5 participants have booked. In such cases, we will notify you at least 48 hours before the scheduled Retreat date and offer you a transfer to an alternative date or a full refund.
  1. User Responsibilities
  1. You must ensure you have a suitable and safe environment for participating in the Retreat, including adequate space for meditation practice and simple yoga postures.
  2. You are responsible for having a reliable internet connection and compatible device to access the online Retreat sessions.
  3. You must follow all instructions provided by the Teachers during the Retreat sessions and use the meditation techniques, yoga postures, and breathing exercises only as taught.
  4. You must not record, photograph, or otherwise capture any part of the Retreat sessions without our express written permission.
  5. You are solely responsible for your own health and safety during participation, including ensuring you are physically capable of performing the activities involved.
  6. You must provide accurate and up-to-date information when booking and notify us immediately of any changes to your contact details.
  7. You agree not to share access credentials or allow others to participate using your booking.
  1. Intellectual Property Rights
  1. All Content provided during the Retreats, including meditation techniques, yoga postures, breathing exercises, wellness practices, routines, and recipes, is protected by intellectual property laws and is provided for your personal use only.
  2. Thryve Pro Academy's branding, website content, and retreat scheduling and structure are owned by us or our licensors.
  3. You are granted a personal, non-exclusive, non-transferable licence to use the Content solely for your personal participation in the Retreats and your own personal practice.
  4. You must not copy, reproduce, distribute, share, sell, or create derivative works from any Content without prior written consent.
  5. You must not record, screenshot, or otherwise capture any part of the online Retreat sessions unless expressly permitted by the Teachers during the session.
  6. The licence granted in clause 8.3 terminates immediately if you breach any of these intellectual property restrictions.
  7. All trademarks, service marks, and trade names used on the Website or during Retreats remain the property of their respective owners.
  8. Nothing in these Terms transfers any intellectual property rights to you except for the limited licence expressly granted in clause 8.3.
  1. Privacy Policy
  1. We collect personal information when you use our Website, register for an account, or book our Services, including your name, email address, phone number, payment details, and any health information you voluntarily provide.
  2. Health information you provide is classified as special category data under UK GDPR. We process this data on the basis of your explicit consent, which you provide when booking our Services. You may withdraw this consent at any time, but doing so may affect your ability to participate in certain Retreat activities.
  3. We use your personal data to provide our Services, process bookings, communicate with you about retreats, send confirmation details, and improve our offerings.
  4. The legal basis for processing your personal data is: (a) the performance of a contract when you book our Services; (b) our legitimate interests in operating our business and improving our Services; and (c) your consent, where you have provided it, for marketing communications.
  5. We may share your information with our certified Teachers and Maharishi Foundation UK solely for the purpose of delivering the retreats you have booked. These parties act as data processors on our behalf and are contractually bound to process your data only in accordance with our instructions and applicable data protection laws.
  6. We will not sell, rent, or share your personal data with third parties for marketing purposes without your explicit consent.
  7. Your personal data is stored securely using industry-standard encryption and security measures. We retain your personal data for a period of six years following your last interaction with us, or as required by law, after which it will be securely deleted.
  8. You have the right to access, correct, delete, or restrict processing of your personal data, and to withdraw consent at any time by contacting us using the details provided on our Website.

  2. We exclude all liability for any indirect, consequential, special, or incidental damages, including but not limited to loss of profits, loss of data, loss of opportunity, or business interruption, whether arising in contract, tort, or otherwise.
  3. We do not exclude or limit our liability for:
  1. death or personal injury caused by our negligence;
  2. fraud or fraudulent misrepresentation;
  3. any other liability that cannot be excluded or limited under applicable law.
  1. You acknowledge that meditation, yoga, and breathing exercises carry inherent risks, and you participate in all Retreat activities entirely at your own risk and responsibility.
  2. We are not liable for any injury, illness, or adverse effects you may experience while participating in Retreat activities, whether physical, mental, or emotional.
  3. We are not responsible for technical issues with your internet connection, device malfunctions, or other technical problems that may affect your ability to participate in online Retreats.
  4. Any advice, recommendations, or guidance provided during Retreats is for general wellness purposes only and does not constitute medical, therapeutic, or professional advice.
  1. Health and Safety Disclaimers
  1. Your Wellbeing Matters: Our Retreats involve meditation, gentle yoga postures, and breathing exercises. If you have any medical conditions, injuries, or health concerns, we recommend consulting your healthcare provider before participating to ensure these activities are suitable for you.
  2. Wellness, Not Medical Treatment: Our Services are designed for general wellness and relaxation. They do not constitute medical advice, diagnosis, or treatment. Our Teachers are certified TM teachers but are not medical professionals.
  3. Listen to Your Body: You are responsible for practising within your own comfort level. Please modify or stop any activity that causes discomfort, and ensure your practice space at home is safe and free from hazards.
  4. Online Limitations: As our Retreats are delivered online, we cannot provide physical assistance or respond to emergencies in your location. Please ensure you have access to appropriate support if needed.
  5. Website Use and Availability
  6. You may access and use our Website subject to these Terms and Conditions and all applicable laws.
  7. We grant you a limited, non-exclusive, non-transferable licence to access and use the Website solely for the purpose of viewing information about our Services and making Bookings.
  8. To participate in our online Retreats, you must have:
  1. a reliable internet connection capable of supporting video streaming;
  2. a suitable device (computer, tablet, or smartphone) with audio and video capabilities;
  3. any software applications we specify for accessing the online sessions.

  2. any Bookings you have made for future Retreats will remain valid and will be honoured in accordance with our Cancellation and Transfer Policy set out in section 6;
  3. we may delete or deactivate your account and all related information and files associated with your account.
  1. Termination of your access does not relieve you of any obligations incurred prior to termination, including any payment obligations for Services already provided or Bookings already made.
  2. The following sections shall survive termination: sections 8 (Intellectual Property Rights), 9 (Privacy Policy), 10 (Limitation of Liability), 11 (Health and Safety Disclaimers), 16 (Governing Law and Jurisdiction), and 17 (General Provisions).
  1. Governing Law and Jurisdiction
  1. These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.
  2. You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms and Conditions or their subject matter.
  3. Nothing in this clause shall limit our right to take proceedings against you in any other court of competent jurisdiction, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdictions.
  1. General Provisions
  1. If any provision of these Terms is found to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
  2. These Terms constitute the entire agreement between you and the Company relating to your use of the Website and Services, and supersede all prior agreements, understandings, negotiations and discussions.
  3. No failure or delay by the Company in exercising any right or remedy under these Terms will constitute a waiver of that right or remedy, nor will it prevent the further exercise of that right or remedy.

  6. These Terms do not create any partnership, joint venture, agency or employment relationship between you and the Company.
  7. Nothing in these Terms is intended to confer any benefit on any third party or to create any rights enforceable by any third party.
  8. Any notice required to be given under these Terms must be in writing and sent to the Company's registered address or to your email address provided during registration.

These Terms and Conditions are effective as of 28 January 2025 and apply to all users of the Thryve Pro Academy website and booking services.
